These Terms of Service ("Terms") are a binding agreement between you and Innowave Software Solutions and Consulting Inc. ("AI4Friend", "we", "us"). By creating an account or using the AI4Friend website, mobile applications or related services (the "Service"), you agree to these Terms, our Privacy Policy and our Community Guidelines, which are incorporated by reference. If you don't agree, don't use the Service.
You may use the Service only if you:
By using the Service you represent that all of the above is true. We may, but are not required to, verify age or identity.
AI4Friend is a platform that lets you record the activities you enjoy, discover other members nearby with similar interests, exchange messages, and receive suggestions for public events and activities. We are an introduction and discovery tool only. In particular:
You are solely responsible for your interactions with other members, online and offline. Decide carefully whether, where and when to meet anyone. We strongly recommend that you meet in public places, tell a friend or family member where you're going and who with, keep your phone charged, arrange your own transport, never share financial information, and leave if you feel uncomfortable. Read the Safety Tips.
You understand and agree that AI4Friend is not responsible for the conduct of any member, whether online or offline, and that you release us (to the fullest extent permitted by law) from any claims, demands or damages arising out of or related to your interactions with other members, including any meeting, activity, event, injury, loss or dispute. If you have a safety concern, contact local emergency services first, then report it to us.
You agree not to:
You own the content you post (photos, bio, messages, reviews). You grant AI4Friend a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, modify (e.g. resize), display and distribute that content solely to operate, promote and improve the Service, for as long as your content remains on the Service (and for a reasonable period afterwards for backups and legal purposes). You represent that you have the rights to the content you post and that it doesn't violate anyone's rights or the law. Reviews must be honest and based on an activity that actually took place; we may edit or remove reviews that aren't.
We may review, moderate and remove any content at our discretion, including photos before they are shown to other members.
Event listings, venues, ticket links and maps come from third-party sources. We don't control them and aren't responsible for their accuracy, availability, pricing, cancellations, refunds, safety or terms. Any purchase you make is between you and the third party. Links to third-party sites are provided for convenience only.
We use automated systems, including machine-learning models, to compute compatibility scores, categorise events, generate short summaries and suggest people and plans. These outputs can be inaccurate or incomplete. They are suggestions only; you decide what to do with them. We don't use automated decisions to deny you access to the Service without human review, except where required for safety or legal compliance.
We may warn you, remove content, limit features, or suspend or terminate your account at any time, with or without notice, if we reasonably believe you have breached these Terms or the Community Guidelines, pose a risk to other members, or for legal or security reasons. You may stop using the Service and delete your account at any time. Sections 5, 7, 11–14 survive termination.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT YOU WILL FIND COMPATIBLE PEOPLE, THAT ANY MEMBER IS WHO THEY CLAIM TO BE, OR THAT ANY MEETING OR EVENT WILL BE SAFE, ENJOYABLE OR TAKE PLACE AT ALL. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AI4FRIEND, ITS DIRECTORS, OFFICERS, EMPLOYEES AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL OR OPPORTUNITY, OR FOR ANY PERSONAL INJURY, EMOTIONAL DISTRESS, PROPERTY DAMAGE OR OTHER DAMAGES ARISING OUT OF OR RELATING TO (A) YOUR USE OF OR INABILITY TO USE THE SERVICE, (B) THE CONDUCT OR CONTENT OF ANY MEMBER OR THIRD PARTY, OR (C) ANY MEETING, ACTIVITY OR EVENT ARRANGED THROUGH THE SERVICE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (I) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (II) CAD $100. These limits don't apply to liability that cannot be limited by law, including liability for our own fraud or gross negligence.
You agree to indemnify and hold harmless AI4Friend and its directors, officers, employees and agents from any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of your content, your use of the Service, your conduct toward other members, or your breach of these Terms or applicable law.
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Before starting any formal proceeding, you agree to first contact us at [email protected] and try in good faith to resolve the dispute informally for 30 days. Subject to any mandatory consumer-protection law in your place of residence, the courts of British Columbia have exclusive jurisdiction, and you agree to bring any claim individually and not as part of a class or representative action, to the extent such a waiver is enforceable where you live. Any claim must be filed within one year after it arose, where the law allows.
We may change the Service and these Terms. For material changes we'll give notice (for example in the app, by e-mail, or by updating the "effective" date above) at least 14 days before they take effect, unless a change is required sooner for legal or security reasons. Continuing to use the Service after a change means you accept it. If you don't, delete your account.
